We have has extensive experience in the acquisition and divestiture of oil and gas and other mineral assets, including pipelines and the due diligence associated therewith. We have represented both sellers and buyers with respect to the sale of both producing and non-producing (undeveloped acreage) oil and gas, coal and salt property sales and acquisitions in transactions ranging from under a million to well over a billion dollars in value. The assets involved in such transactions have been located in Texas, New Mexico, Oklahoma, Louisiana, West Virginia, the Gulf of Mexico, South America, Africa and Australia, and the firm’s clients have ranged from large companies like Pennzoil, Amoco/BP, Marathon, and Forest Oil to smaller companies like Goodrich Petroleum, Moran Resources, Forcenergy, John H. Young, Inc. and others. Such representation has also involved the sale/purchase of many pipeline systems for the foregoing clients and others, including both intrastate and interstate lines, and the due diligence associated therewith. In addition to successfully handling appeals and mandamuses in Texas state and federal appeals courts in a wide variety of oil and gas related matters including condemnation issues, title disputes, force majeure, product liability claims, mineral rights, and constitutionality of Texas’s eminent domain system, we have also handled appellate matters involving trade secret claims, arbitrability disputes, title disputes, fraud in real estate transactions, Hague Convention on Civil Aspects of International Child Abduction, construction disputes, procedural issues, contract disputes, and legal malpractice claims. At the trial court level, we have extensive experience drafting and responding to summary judgment motions, motions to dismiss, jurisdictional pleas, and motions to exclude experts and evidence, while creating a record that will preserve issues for appeal.
